Starting off a new business venture can be a great challenge. It can mean, independence, hard work and job satisfaction. A UK Limited Company is widely recognised as one of the most cost effective  corporate entities with which to establish a new business. It offers the protection of limited liability to it's shareholders and directors, it is registered at Companies House in the UK and can therefore be easily confirmed as a legally constituted concern, it carries world wide recognition as being a corporate body capable of conducting business on every continent.

A Limited Company is seen by law as a separate entity to yourself. It can have its own bank account, it pays its own taxes and is responsible for its own debts. Instead of being self-employed, you would become both a Director and an employee of the company.

The share holdings of a limited company are covered by limited liability. This means that, in the event of a closing up, they are liable only for the amount of share capital contributed or due to be paid up. It also protects the directors and other officers of the company from actions by the unsecured creditors.

If you are serious about forming a limited company in the UK you must first have the following points to hand:

  1. The Company Name - This should be unique and avoid similarity with any existing companies already registered with companies house
  2. The Directors - These are the people who are responsible for the day to day management & control of the companies affairs. There Must be at least 1 person appointed as director although there is no maximum number.
  3. The Company Secretary - The company's administrative officer. The appointed person can also be the director, but only if there is a minimum of two directors.
  4. The Share Capital - This represents the total number of shares available for issue for the company in question.
  5. The Shareholders - Are the owners of the company. A minimum of one share must be issued; maximum as determined by the share capital.
  6. Registered Office - This must be located in either England or Wales, but can be a home address or business address, its entirely up to you!

Its then a simple process of contacting one of our qualified accountants who will aid you in having your application processed.
